Due
Diligence and Technology Audit
Prior to making an investment or
completing an merger and acquistion , it's critical
that you thoroughly assess the company's underlying
technology. To be viable and profitable, a business
must not only integrate adequate capitalization, good
management and efficient operations, but sound technology
as well.
Venture capital firms and investment
banks are often qualified to evaluate a target company's
finances, management, and operations, but frequently
may benefit from an independent, third-party evaluation
of its technology. Indeed, conducting a structured and
thorough technology review will provide you the insights
you need to make a more confident investment or acquisition
decision.
With its teams of scientists, engineers,
technology experts and other professionals, Tietronix
brings the capabilities and expertise necessary to evaluate
the technology worth of your acquisition or investment.
Tietronix will perform a comprehensive
technological review on your behalf, including a “strengths
and weaknesses” analysis of the target's technology
product(s), a review of the target's positioning against
comparable competing products and technologies, and
a discussion of the target's organizational capabilities
with regards to technology. We will conduct the following
to protect you:
- Review of the technical
architecture including compliance with standards,
data structure design, module structures and code
reuse, control flow, and code structure. We inspect
the source code, review documentation, evaluate plans
and processes, and assess scalability and performance
issues.
- Assess how the target’s company products measure up to the competition.
- Assess the target company’s technology development team capabilities.
- Evaluate the development process and procedures (source code control, virus checking, compliance, etc.)
- Review maintenance and upgrade release history.
- Interview prospective and existing customers. In general these interviews will assess functional and technical
satisfaction with the products.
